Effective Date: September 14, 2026 • Governs all GrantFil Grassroots, Format Freedom, Grant Command OS subscriptions, single purchases, and institutional Purchase Orders.
By purchasing, subscribing to, logging into, generating proposals with, or exporting documents from GrantFil or Grant Command OS, you enter into a legally binding contract with Positive Light Learning Network and Syprian Ecosystem entities.
Key Covenant: All grant narratives, line-item budgets, slide decks, and support letters generated are digital proprietary assets. Licenses to use or submit these assets are strictly conditional upon settled payment. Any chargeback, unauthorized dispute, payment default, or breach of subscription commitments automatically and retroactively revokes all rights to submit or benefit from generated materials, exposing unauthorized submissions to federal copyright infringement and procurement fraud liability.
Under the Uniform Commercial Code (UCC § 2-105), the Federal Trade Commission digital asset framework, and 16 C.F.R. Part 425, GrantFil and Grant Command OS provide customized digital information services and automated computational intelligence.
Fulfillment of our service occurs instantaneously at the exact moment a grant proposal is generated, drafted by AI algorithms, previewed, or exported into Adobe PDF, Microsoft Word (.DOCX), Markdown, Rich Text (.RTF), JSON, or HTML formats.
Because instant high-compute language models and proprietary databases are consumed upon generation, ALL SALES, SUBSCRIPTION CHARGES, AND SINGLE-PROJECT FEES ARE FINAL AND 100% NON-REFUNDABLE. No refunds, partial credits, or pro-rated reversals will be issued under any circumstances once access has been provisioned.
Subscribers select between three distinct pricing structures, each governed by specific binding commitments:
Early Cancellation Default Clause: If a subscriber attempts to cancel, default, or dispute billing prior to the expiration of the 3-month term, the entire unbilled balance of the term ($87 minus payments made) becomes immediately accelerated, due, and payable. Alternatively, GrantFil reserves the right to retroactively re-bill all generated proposals at the Single Grant rate ($19.00 per generated proposal), whichever total is greater.
Subscriber acknowledges that payment processing banks and card networks (Visa, Mastercard, American Express, Discover) provide dispute mechanisms designed for unauthorized theft or non-delivery of physical goods.
Initiating a chargeback or payment reversal after accessing the platform, generating narratives, or downloading proposals constitutes intentional bad-faith breach of contract and civil theft of services.
Irrebuttable Proof of Fulfillment: Subscriber stipulates that GrantFil server logs recording user email, login credentials, originating IP address, timestamp of generation, and document export event constitute conclusive and irrebuttable proof of delivery for merchant arbitration and small claims court.
All proprietary algorithms, grant matrix datasets, proposal structures, narrative drafts, line-item budgets, executive slide decks, and support letters generated by GrantFil and Grant Command OS are protected by United States Copyright Law (Title 17, United States Code).
Conditional License Grant: GrantFil grants the subscriber a limited, non-exclusive license to submit the generated materials to grantmakers, intermediate school districts, state agencies, and foundations SOLELY ON THE CONDITION that the subscriber account is in settled, good financial standing.
Immediate Revocation Upon Default: In the event of a chargeback, payment reversal, unfulfilled term balance, or unpaid Purchase Order, ALL LICENSES, PERMISSIONS, AND RIGHTS TO SUBMIT, PRESENT, OR BENEFIT FROM ANY MATERIALS GENERATED BY THE PLATFORM ARE IMMEDIATELY AND RETROACTIVELY REVOKED IN FULL.
Willful Federal Copyright Infringement: Any use, formal submission, or board presentation of revoked materials constitutes willful federal copyright infringement under 17 U.S.C. § 501 et seq. GrantFil will seek statutory damages up to $150,000.00 USD per infringed work pursuant to 17 U.S.C. § 504(c)(2), in addition to full injunctive relief and recovery of attorney fees.
Public Procurement Fraud & Funder Notification: Submitting un-licensed or revoked proposal documents to Grants.gov, Michigan NexSys, SIGMA VSS, or any public or private grantor constitutes a false statement in a procurement matter under 18 U.S.C. § 1001 and the federal False Claims Act (31 U.S.C. § 3729). GrantFil explicitly reserves the contractual right to notify the funding agency, grant review committee, school superintendent, board of education, or state auditor directly of the revoked license and invalid submission status.
For public school districts, intermediate school districts (ISDs), universities, 501(c)(3) nonprofits, and municipal entities paying via institutional Purchase Order (PO):
GrantFil and Grant Command OS are software and technological productivity platforms. Fees paid to GrantFil are strictly for software access, proprietary intelligence feeds, language model computation, and algorithmic proposal synthesis.
FEES ARE UNDER NO CIRCUMSTANCE CONTINGENT UPON GRANT FUNDING RESULTS. GrantFil makes no representation, warranty, or guarantee that any grant application will be awarded, approved, or funded by any public or private entity. Grant awards remain in the sole discretion of independent funding review panels. Non-award or rejection of a grant proposal does not entitle subscriber to a refund, credit, or dispute right.
To protect proprietary data feeds, computational capacity, and digital assets, subscriber agrees to adhere to strict system portioning rules:
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Michigan, without regard to conflict of law principles.
Exclusive Venue: Any dispute, claim, or legal proceeding arising out of or relating to this Agreement, software usage, payments, or license revocation shall be instituted exclusively in the state or federal courts located in Wayne County, Michigan. Subscriber expressly waives any objection to personal jurisdiction or venue therein.
Fee Shifting: In any litigation, arbitration, or collection proceeding arising from a breach of this Agreement, an unauthorized chargeback, or copyright infringement of revoked materials, GrantFil shall be entitled to recover from subscriber all reasonable attorney fees, court costs, and related expenses.
